1. Agreement to Terms

These Terms of Use (“Terms”) are a binding agreement between you and Leucistic (“we”, “us”, “our”). By accessing or using our website, platform, or services, you agree to these Terms. If you do not agree, please stop using our services immediately.

2. Platform Overview

Leucistic is an AI-powered legal tech platform providing contract review, clause extraction, risk flagging, and compliance reporting. We leverage the GPT API and other AI tools to analyze your documents. We do not provide legal advice.

3. Eligibility

You must be at least 18 years old (or the legal age in your jurisdiction) to use our services. By using Leucistic, you represent and warrant that you meet this requirement.

4. Account Registration

Certain features require an account. You agree to provide accurate information upon registration and to protect your credentials. You are responsible for all activity under your account.

5. Subscriptions & Billing

We offer a 7-day free trial, a Pro Plan at $29/month, and a Team Plan at $99/month (up to 5 users). All subscriptions auto-renew until canceled. Payments are non-refundable unless required by law.

6. License & Use Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Leucistic. You may not copy, modify, distribute, sell, or reverse engineer our platform.

7. User Responsibilities & Prohibited Conduct

You agree not to:

• Violate any applicable laws or infringe third-party rights.
• Upload harmful, defamatory, obscene, or illegal content.
• Introduce viruses, malware, or malicious code.
• Attempt unauthorized access to our systems.
• Interfere with or disrupt the platform’s operation.

8. AI & Data Storage

GPT API Usage: When you upload documents, we securely transmit text to OpenAI’s GPT API solely to perform contract analysis. Your data is not used to train OpenAI models.

Storage: All user content is encrypted in transit (HTTPS) and at rest. Documents and analysis results are stored on SOC2-compliant servers (Supabase/AWS/GCP) and retained only as long as necessary for service provision or as legally required.

Privacy & Access: You can request access, correction, or deletion of your data at any time by contacting info@leucistic.com.

9. Intellectual Property

All trademarks, logos, content, and software belong to Leucistic or its licensors. Unauthorized use is prohibited.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS”—WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEUCISTIC’S LIABILITY IS LIMITED TO AMOUNTS YOU PAID IN THE PRIOR 12 MONTHS. WE ARE NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

12. Indemnification

You agree to defend and hold Leucistic harmless from any claims arising from your use of the platform or violation of these Terms.

13. Termination

We may suspend or terminate your access for violations of these Terms, fraudulent activity, or misuse. Upon termination, your license ends, but Sections 9–14 survive.

14. Governing Law

These Terms are governed by the laws of Ontario, Canada. Disputes shall be resolved in Toronto courts.

15. Changes to Terms

We may update these Terms occasionally. We’ll post the new Effective Date here and notify you as required. Continued use signifies acceptance.

16. Severability

If any provision is invalid, the remainder of these Terms will remain in full force.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leucistic.
